Corporate Litigation

We have litigated many corporate cases with regards to interim orders and interim injunctions. We have provided our legal expertise to several clients on complicated legal matters such as Mareva injunctions and Norwich Pharmacal order (NPO). The former is also know as a freezing order which is an interlocutory relief granted by the courts in order to freeze the assets of a defendant during a civil proceeding, the latter requires a respondent to disclose certain documents or information to the applicant. NPOs are typically used by a party to identify the proper defendant to an action or obtain information required to plead a claim.

We have also litigated cases with regards to derivative actions, which occurs where an action is brought by a minority of a company’s shareholders in their own names on behalf of the company. Derivative actions are usually against a corporation’s management, board of directors or controlling shareholders typically alleging breach of fiduciary duty, conflict of interest, fraud, breach of the duty of care or mismanagement or unlawful administrative conduct. The law governing derivative actions was outlined in the landmark English corporate law case of Foss v Harbottle, which formed the foundation of minority shareholder remedies.

Investment Firms Regulation

The Firm has a dedicated team of advocates dealing with international and local matters in relation to the authorization, regulation, compliance and legal matters of Cyprus Investment Firms, AIFs, UCITS Funds, EMI, ASPs and their related legal matters. The team advises investors who are interested in investing in Cyprus with the provision of the aforesaid services. It also assists existing companies in relation to the legal and compliance matters and offers advice for their ongoing regulations. It also assists in relation to European and International matters for the issuing of legal opinions and receiving of legal advice at an international level, taking into consideration the market’s current situation.
